Core Capabilities: 

  • Proven ability to design, build and manage cross-team legal processes aligned with business objectives to drive tangible efficiency improvements 
  • Deep commercial transactions experience across a minimum of two main categories that drive an online advertising and commerce business, namely: 1) online advertising; 2) online business development; and 3) online infrastructure
  • Proven ability to draft and negotiate significant-impact business contracts ($3M+ revenue or cost impact)

Job Responsibilities: 

  • Responsible for overall transactional legal work, including partnering across the organization with stakeholders for sales, marketing, product and finance strategy and planning.
  • Manage, draft, and negotiate commercial online and sales-related contracts primarily consisting of digital media advertising insertion orders, custom content agreements, license agreements, professional services agreements, statements of work, marketing and promotion agreements, non-disclosure agreements, business development agreements, partner agreements, terms of service, contests and sweepstakes rules, privacy policy and vendor agreements, as needed.
  • Flex and adapt to business needs, solving for company first. Demonstrate growth mindset and strategically scale and align with the expanding organization to execute against defined strategic priorities for achievement of business objectives.
  • Establish and nurture relationships as a priority; continually communicate up/down/across the organization to ensure people are aware of progress, issues, needs and integrate work to maximize value.
  • Collaborate cross-functionally to ensure that contracts capture complex business requirements, comply with financial policies as well as statutory and/or legal requirements, suitably mitigate risk exposures and accurately incorporate all required language.
  • Advise internal stakeholders regarding legal issues, including identifying, managing, and communicating risks and opportunities in transactions and provide input and leadership into practical and strategy practices across the business.
  • Serve as trusted business partner to functional teams to resolve inquiries, concerns, interpretation or issues related to contracts.
  • Proactively and routinely share knowledge with others throughout the organization to support continuous growth and development as it relates to contract practices, terms and changes in the marketplace and regulatory environment.
  • Create and communicate education, information, and training for the organization on negotiation best practices, contracting policies and procedures and relevant legal issues.
  • Develop, and ensure alignment with, contract management policies and procedures.
  • Collaborate closely with internal operations functions that will enable the contracting process and support improvement initiatives both at org-wide level and sub-team level for efficiency by deploying best practices and quality assurance in contracting and strategic management.
  • Lead strategic initiatives to drive efficiencies. Manage projects and work to optimize performance and improve customer and stakeholder experience.
  • Actively monitor compliance, analyze performance, and make strategic changes as appropriate in order to promote the growth of the company.
  • Review and advise on trademark, design and copyright issues.
  • Legal-related tasks and special projects, as assigned.

Preferred Requirements:

  • Bachelor’s degree. JD preferred.
  • 5-10 years’ commercial transactions experience, preferably with a technology company
  • 2-5 years’ process improvement or management consulting experience
  • Strong leadership, group facilitation, and project management skills
  • High emotional intelligence and interpersonal skills
  • Ability to manage multiple priorities while delivering the highest quality work product
  • Ability to manage and support projects cross-functionally in an iterative, fast paced environment
  • Ability to effectively present information to groups, and to respond to questions from employees, clients, and vendors
  • Extremely detail oriented, you move fast but with sure footing
  • Ability to balance risk and internal compliance with revenue goals
  • Strong work ethic with an intense will-to-win
  • Innate curiosity, desire and ability to learn rapidly, resilient
  • Demonstrated experience negotiating complex transactions, with issues related to privacy, security, intellectual property, internet, online commerce and advertising concepts

  • High personal standards of excellence and ethics, as well as the ability to act with discretion, strict confidentiality and sensitivity towards issues and individuals
  • Demonstrated proficiency in MS Office

Travel: This position may require occasional travel, less than 5%.
